1 Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SPO ink ("SPO ink," "we," "us," or "our") governing your access to and use of the SPO ink platform, website located at spoink.com, and all associated services (collectively, the "Service").
By accessing or using the Service — including by clicking "I Agree," completing registration, or accessing your account — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a school, parent-teacher organization, school parent organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.
If you do not agree to these Terms, you may not access or use the Service.
2 Service Description
SPO ink is a cloud-based event management and volunteer coordination platform designed exclusively for school parent organizations (SPOs), parent-teacher organizations (PTOs), parent-teacher associations (PTAs), and similar school volunteer groups at private, independent, charter, and faith-based schools.
The Service includes, but is not limited to, the following features:
- Event creation, planning, and management dashboards
- Volunteer sign-up form builder and shift scheduling
- Event attendee sign-up and ticketing forms
- Budget tracking, expense management, and financial reporting
- Vendor contact library and management
- Day-of expense logging tools
- School directory management for organization members
- Reporting and data export tools
- Team member access and collaboration tools
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice to subscribers. We will not materially reduce core functionality without providing affected subscribers an opportunity to cancel and receive a prorated refund.
3 Eligibility
To use the Service, you must:
- Be at least 18 years of age;
- Be a parent, legal guardian, school staff member, or authorized volunteer associated with an accredited K-12 school;
- Have the legal capacity to enter into a binding agreement;
- Not be barred from receiving services under applicable law; and
- Use the Service solely for lawful purposes related to school event organization and volunteer coordination.
4 Accounts & Registration
4.1 Account Creation
You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times. Each subscription is associated with one school organization. You may add unlimited team members to a single school account.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@spoink.com if you become aware of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to protect your account credentials.
4.3 One Account Per Organization
Each school organization may maintain one active subscription account. Creating multiple accounts for the same organization to circumvent billing is prohibited and may result in immediate termination of all associated accounts.
4.4 Account Accuracy
You represent that all information you provide is accurate and that you are authorized to represent the school organization associated with the account. SPO ink is not responsible for issues arising from inaccurate account information provided by users.
5 Subscription & Billing
5.1 Subscription Plan
SPO ink offers an all-access subscription plan at $49.00 USD per month per school organization ("Subscription"). The Subscription provides access to all features of the Service for an unlimited number of team members within the registered school organization.
5.2 Billing Cycle
Subscriptions are billed on a monthly basis. Your billing cycle begins on the date your free trial ends (or the date you provide payment information if no trial applies). Subsequent charges occur on the same calendar day each month.
5.3 Payment Processing
All payments are processed securely through Stripe, Inc. ("Stripe"). By providing your payment information, you authorize SPO ink and Stripe to charge your designated payment method for all applicable fees. We do not store your full credit card number on our servers. Your payment information is governed by Stripe's Privacy Policy and Terms of Service.
5.4 Automatic Renewal
Your Subscription automatically renews each month unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting support@spoink.com. Cancellation takes effect at the end of the current billing period; you will retain access through the last day of the paid period.
5.5 Price Changes
We reserve the right to change our pricing at any time. We will provide at least 30 days' advance written notice of any price increase to your registered email address. Continued use of the Service after the price change takes effect constitutes acceptance of the new pricing. If you do not accept the new pricing, you may cancel your Subscription before the change takes effect.
5.6 Refunds
All subscription fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If you cancel during a billing period, you will not receive a refund for the unused portion of that period. We may, at our sole discretion, issue credits or refunds in exceptional circumstances.
5.7 Failed Payments
If a payment fails, we will attempt to retry the charge and will notify you by email. If payment is not resolved within 7 days, we may suspend your account until the outstanding balance is paid. Accounts suspended for non-payment for more than 30 days may be terminated and data may be deleted in accordance with our data retention policy.
5.8 Taxes
All fees are exclusive of applicable taxes. You are responsible for any sales, use, value-added, or similar taxes imposed by applicable law on the Service.
6 Free Trial
New subscribers receive a 14-day free trial beginning on the date of account registration. During the trial period, you will have full access to all features of the Service.
To begin a free trial, we require a valid payment method. Your payment method will not be charged during the trial period. If you do not cancel before the trial period ends, your Subscription will automatically begin and your payment method will be charged $49.00 on the 15th day after registration.
Free trials are limited to one per school organization. Creating multiple accounts to obtain additional free trials is prohibited and may result in immediate termination without notice.
7 Acceptable Use Policy
7.1 Permitted Uses
You may use the Service solely for lawful purposes directly related to the organization, coordination, and management of school events and volunteer activities within your registered school organization.
7.2 Prohibited Conduct
You agree not to use the Service to:
- Violate any applicable federal, state, local, or international law or regulation;
- Collect, store, process, or transmit any personally identifiable information of minors (individuals under 18) without appropriate parental consent and in compliance with COPPA and all applicable laws;
- Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, fraudulent, or harmful;
- Impersonate any person or entity or misrepresent your affiliation with a school organization;
- Use the Service for any commercial purpose other than school event organization (e.g., running a for-profit business through the platform);
- Attempt to gain unauthorized access to any portion of the Service or any other systems or networks;
- Interfere with or disrupt the integrity or performance of the Service;
- Use automated means (bots, scrapers, crawlers) to access the Service;
- Reverse engineer, decompile, or attempt to extract the source code of any part of the Service;
- Resell, sublicense, or otherwise make the Service available to any third party outside your registered school organization; or
- Use the Service to send unsolicited communications (spam) to individuals who have not opted in.
7.3 Content Standards
Any content you upload or share through the Service must be accurate, appropriate for a school community context, and must not violate the rights of any third party. You retain ownership of content you submit, but grant SPO ink a limited license to host, display, and process such content solely to provide the Service.
7.4 Enforcement
We reserve the right to investigate and take appropriate action for any violation of this Acceptable Use Policy, including suspending or terminating your account and reporting to law enforcement where required.
8 Data, Privacy & Student Data
8.1 Data You Provide
The data processed through SPO ink consists exclusively of information provided by adult users (parents, guardians, and school staff), including contact information, event details, volunteer availability, and organizational financial data. No student records, grades, disciplinary records, or other educationally sensitive information should be entered into the Service.
8.2 No Student Data
You expressly agree not to enter any personally identifiable student data into the Service. "Student data" includes, without limitation, student names, photos, ID numbers, grades, attendance records, disciplinary records, health information, or any other information that could directly identify a student. SPO ink is not a school record system and is not designed or intended to hold such information.
8.3 FERPA & COPPA Compliance
Because SPO ink does not receive or store student education records, FERPA does not impose obligations on SPO ink as an operator. The Service is directed solely at adults (18+). SPO ink does not knowingly collect personal information from children under 13 and complies with the Children's Online Privacy Protection Act (COPPA). If we become aware that personal information of a child under 13 has been submitted to the Service, we will delete that information promptly.
8.4 Privacy Policy
Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8.5 Data Security
We implement commercially reasonable technical and organizational security measures to protect data stored in the Service. However, no method of internet transmission or electronic storage is 100% secure. You acknowledge that you use the Service at your own risk with respect to data security.
8.6 Data Ownership
You own all data you input into the Service. We do not sell your data to third parties. We may use aggregated, anonymized data (which cannot be linked back to any individual or organization) for product improvement purposes.
9 Intellectual Property
9.1 Our Property
The Service, including all software, code, designs, graphics, logos, text, and other content created by SPO ink, is owned by SPO ink and protected by U.S. and international intellectual property laws. These Terms do not grant you any ownership interest in the Service. "SPO ink," the SPO ink pig logo, and related marks are trademarks of SPO ink.
9.2 License to Use
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal school organization purposes.
9.3 Your Content
You retain all rights to content you submit to the Service (event names, volunteer lists, budget entries, etc.). By submitting content, you grant us a worldwide, royalty-free license to host, store, and display your content solely to operate and provide the Service. This license terminates when you delete the content or close your account.
9.4 Feedback
If you provide us with ideas, suggestions, or feedback about the Service, you grant us an irrevocable, perpetual, royalty-free license to use that feedback without compensation or attribution to you.
10 Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, SPO INK EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, completely secure, or free of viruses or other harmful components. We do not warrant that any particular feature will continue to be available or that results obtained through the Service will be accurate or reliable.
SPO ink is a software tool. It does not provide legal, financial, tax, or compliance advice. You are solely responsible for ensuring your organization's events, financial practices, and data handling comply with all applicable laws and regulations.
11 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPO INK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL SPO INK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO SPO INK IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations above may not apply to you.
12 Indemnification
You agree to defend, indemnify, and hold harmless SPO ink and its officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any content you submit to the Service.
13 Termination
13.1 Termination by You
You may cancel your Subscription at any time by accessing your account settings or by contacting support@spoink.com. Cancellation is effective at the end of your current billing period. No refunds are issued for partial periods except where required by law.
13.2 Termination by Us
We may suspend or terminate your account and access to the Service immediately and without prior notice if: (a) you materially breach these Terms; (b) we reasonably suspect fraudulent or illegal activity; (c) continued access poses a security or legal risk; or (d) you fail to pay applicable fees. We will endeavor to provide notice where practicable.
13.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will retain your data for 60 days following termination, during which you may request an export of your organization's data by contacting support@spoink.com. After 60 days, your data will be permanently deleted from our systems.
13.4 Survival
Sections 9 (Intellectual Property), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Disputes), and any other provisions that by their nature should survive termination, shall survive termination of these Terms.
14 Dispute Resolution & Governing Law
14.1 Governing Law
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before filing any formal legal claim, you agree to contact us at support@spoink.com and make a good-faith effort to resolve the dispute informally. We will do the same. Most disputes can be resolved quickly and amicably this way.
14.3 Binding Arbitration
If we cannot resolve a dispute informally within 30 days, you and SPO ink agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted in Austin, Texas, or via videoconference. The arbitrator's decision shall be final and binding.
14.4 Class Action Waiver
You and SPO ink each waive the right to a trial by jury or to participate in a class action, class arbitration, or representative action. All disputes must be brought in your individual capacity, not as a plaintiff or class member in any class or representative proceeding.
14.5 Exceptions
Notwithstanding the above, either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent imminent irreparable harm.
15 Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address registered on your account) at least 14 days before the changes take effect, and we will update the "Last Updated" date at the top of this page.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must cancel your Subscription before the changes take effect.
